LeStudio Terms of Service

The core agreement governing LeStudio accounts and Services, including New Zealand consumer safeguards and product-specific terms.

Version
** 1.0
Effective
** 26 August 2026
Issuer
LeStudio Limited

These Terms of Service constitute a legal agreement between LeStudio Limited and each person or organisation that accesses or uses a Service to which these Terms apply.

1. Application, Agreement and Contracting Party

1.1 Contracting Party

The contracting party under these Terms is LeStudio Limited, a company incorporated in New Zealand under company number 9452538 and NZBN 9429053895868 (“LeStudio”, “we”, “us” or “our”).

1.2 Application

These Terms apply to each LeStudio website, account, application, platform, product or online service that expressly refers or links to them (each a “Service” and together the “Services”).

1.3 Acceptance

You become bound by these Terms when you expressly accept them through a supported LeStudio acceptance mechanism, including an account-registration, clickwrap or other electronic acceptance process, or when another applicable agreement expressly incorporates them.

1.4 Authority

If you accept these Terms on behalf of a company, partnership, trust, public body or other organisation, you represent that you have authority to bind that organisation.

1.5 Effective Date

Version 1.0 takes effect on 26 August 2026. No acceptance is backdated, and an Account acceptance record applies only to the legal version actually presented and accepted through the applicable LeStudio process.

2. Definitions and Interpretation

2.1 Defined Terms

In these Terms:

Account means a LeStudio identity or credential set used to access a supported Service.

Applicable Law means any law, regulation, binding court order or other legal requirement that applies to the relevant party, Service or transaction.

Business User means a person acquiring or using a Service in trade.

Product Terms means supplemental terms, an order form, subscription agreement, statement of work, service schedule or other terms applying to a particular LeStudio product, feature or commercial arrangement.

Services has the meaning given in clause 1.2.

Your Content means content, files, information, data or material that you submit, upload, create or store through a Service, excluding LeStudio software and LeStudio-provided content.

2.2 Interpretation

Unless the context requires otherwise:

  • headings are for convenience and do not limit interpretation;
  • the singular includes the plural and vice versa;
  • “including” and similar expressions are not words of limitation;
  • a reference to legislation includes amendments, replacements and subordinate legislation;
  • a reference to “writing” includes an electronic communication or electronic record capable of being retained.

2.3 Order of Precedence

If Product Terms apply to a Service, the Product Terms supplement these Terms. If there is a direct inconsistency, the Product Terms prevail only to the extent of that inconsistency and only for the affected Service.

2.4 Mandatory Rights

No Product Terms or other agreement may exclude, restrict or modify a right or remedy to the extent that Applicable Law prohibits that result.

3. Eligibility, Accounts and Credentials

3.1 Self-Service Accounts

Unless LeStudio expressly provides otherwise, a person creating a self-service Account must be at least 18 years old and legally capable of entering into the applicable agreement.

3.2 Account Information

You must provide information that is reasonably required for the Account or Service and must not knowingly provide materially false or misleading information.

3.3 Credentials

You must take reasonable steps to protect passwords, passkeys, verification links, security codes, session tokens and other Account credentials.

3.4 Unauthorised Access

You must promptly notify LeStudio if you know or reasonably suspect that an Account or credential has been compromised or used without authority.

3.5 Organisational Accounts

Where an Account forms part of an organisation-controlled workspace, the organisation may have administrative rights over that workspace, including rights to assign roles, manage access or administer organisation-controlled content, subject to Applicable Law and the applicable Product Terms.

4. Licence and Permitted Use

4.1 Limited Right of Use

Subject to these Terms and any applicable Product Terms, LeStudio grants you a limited, non-exclusive, non-transferable and revocable right to access and use the Services made available to you for their intended purpose.

4.2 Reservation of Rights

Except for rights expressly granted under these Terms or Product Terms, no right, title or interest in LeStudio software, source code, interfaces, designs, documentation, trade marks or other intellectual property is transferred to you.

4.3 Legal Restrictions

Nothing in these Terms prohibits conduct that Applicable Law expressly permits and which cannot lawfully be restricted by contract.

5. Acceptable Use

5.1 Compliance with AUP

You must comply with the LeStudio Acceptable Use Policy as applicable to the relevant Service.

5.2 Prohibited Conduct

Without limiting the Acceptable Use Policy, you must not knowingly:

  • use a Service for unlawful purposes;
  • access another person's Account, workspace, files or data without authority;
  • bypass or defeat authentication, authorisation, security controls, quotas or rate limits;
  • introduce malware or malicious code;
  • materially disrupt or exhaust LeStudio infrastructure;
  • use automated access in a manner LeStudio has prohibited or which materially interferes with the Service;
  • upload or provide material where you do not hold the rights or authority reasonably required for that use.

5.3 Security Research

Good-faith security research is governed by any Vulnerability Disclosure Policy published by LeStudio. Activity outside that policy remains subject to these Terms and Applicable Law.

6. Your Content

6.1 Ownership

As between you and LeStudio, you retain ownership of Your Content.

6.2 Limited Licence to LeStudio

You grant LeStudio a non-exclusive licence to host, reproduce, transmit, process, display and otherwise handle Your Content only to the extent reasonably necessary to:

  • provide and operate the Service;
  • make technical copies required for storage, availability, resilience or delivery;
  • maintain and secure the Service;
  • provide support requested by you;
  • comply with Applicable Law or valid legal process.

6.3 Duration of Licence

The licence in clause 6.2 ends when the relevant content is deleted from active systems, except to the extent that a lawful retention purpose, backup cycle, security requirement, dispute, legal hold or statutory obligation continues to apply.

6.4 Responsibility for Content

You are responsible for ensuring that you have the rights, permissions and authority reasonably necessary to provide and use Your Content through the Service.

6.5 General-Purpose AI Training

LeStudio does not use private user files or private Service content to train a general-purpose artificial-intelligence model by default. Any materially different use must be disclosed and governed before the relevant content is used for that purpose.

7. LeStudio Intellectual Property

7.1 Ownership

LeStudio and its licensors retain all rights, title and interest in the Services and associated software, designs, interfaces, documentation, brands, trade marks and other protected material.

7.2 Restrictions

Unless an applicable open-source licence, Product Terms or Applicable Law permits otherwise, you must not copy, sell, sublicense, distribute or commercially exploit LeStudio software or protected material outside the rights expressly granted to you.

7.3 Feedback

If you voluntarily provide feedback or suggestions about a Service, LeStudio may use that feedback to improve its Services, provided that doing so does not transfer ownership of Your Content or personal information contrary to the Privacy Statement.

8. Privacy and Personal Information

8.1 Privacy Statement

LeStudio's Privacy Statement describes how LeStudio collects, uses, discloses, protects, retains and otherwise handles personal information.

8.2 Marketing Separate from Contract Acceptance

Creation of an Account, acceptance of these Terms or submission of an enquiry does not, by itself, constitute consent to optional promotional marketing.

8.3 Privacy Rights

Privacy access, correction and complaint processes are described in the Privacy Statement and Privacy Rights & Requests document.

9. Third-Party Services and Integrations

9.1 Third-Party Dependencies

A Service may depend on, integrate with or link to third-party infrastructure, software or services.

9.2 Third-Party Terms

A third party may impose its own terms or privacy practices where you establish a direct relationship with that third party.

9.3 LeStudio Responsibility

LeStudio remains responsible for obligations that Applicable Law or LeStudio's agreements place on LeStudio. LeStudio does not, however, control the independent availability or conduct of a third party acting outside LeStudio's direction.

10. Beta, Preview and Experimental Features

10.1 Identification

LeStudio may identify a feature as beta, preview, experimental, early access or similar.

10.2 Characteristics

Such a feature may change frequently, be incomplete, contain defects, have additional restrictions or be withdrawn before general release.

10.3 Mandatory Rights Preserved

A beta or preview label does not exclude any right or remedy that cannot lawfully be excluded.

11. Fees, Billing and Paid Services

11.1 Pre-Contract Disclosure

Before you commit to a paid Service, LeStudio will present the material commercial terms applicable to that purchase.

11.2 Material Commercial Terms

Depending on the Service, those terms may include:

  • price and currency;
  • applicable GST, taxes or known fees;
  • billing frequency;
  • subscription or renewal terms;
  • cancellation conditions;
  • refund or remedy information required by Applicable Law.

11.3 Location of Commercial Terms

Commercial terms may appear in Product Terms, an order form, checkout flow, quotation, statement of work or other commercial agreement.

11.4 No Hidden Material Qualification

LeStudio will not intentionally defer a material fee, renewal term, cancellation condition or material qualification until after you have committed to the relevant paid Service.

12. Service Changes, Maintenance and Availability

12.1 Changes

LeStudio may maintain, update, improve, modify or replace features of a Service.

12.2 Availability

Unless expressly stated in applicable Product Terms, LeStudio does not warrant that every Service will be uninterrupted, error-free or continuously available.

12.3 Material Reduction of Paid Service

Where a change materially reduces a paid Service, any notice, cancellation, refund or other remedy required by Applicable Law or applicable Product Terms continues to apply.

13. Suspension and Protective Action

13.1 Grounds for Suspension

LeStudio may temporarily restrict or suspend access where reasonably necessary to:

  • protect an Account, user or Service from a security threat;
  • contain suspected compromise, fraud or abuse;
  • comply with Applicable Law or valid legal process;
  • prevent material harm to LeStudio, users or third parties;
  • address a serious breach of these Terms or the Acceptable Use Policy.

13.2 Notice

Where reasonably practicable, lawful and safe, LeStudio will provide notice of a suspension and a reasonable method for contacting LeStudio about the action.

13.3 Immediate Action

LeStudio may act before giving notice where immediate action is reasonably required for security, fraud prevention, legal compliance or prevention of material harm.

14. Account Closure and Termination

14.1 User-Initiated Closure

You may stop using a Service and may request Account closure through a supported LeStudio process.

14.2 Effect of Eligible Closure

For an eligible verified closure, LeStudio may disable Account access, revoke active sessions, remove Account preferences and eligible user-file storage, and pseudonymise or clear core identity and credential information in accordance with the Privacy Statement.

14.3 Records Not Immediately Deleted

Account closure does not require immediate deletion of every backup, log or separately governed record. LeStudio may retain information where a lawful purpose continues, including for legal acceptance evidence, security incidents, disputes, financial or statutory records, backups in ordinary rotation or a documented legal hold.

14.4 Termination by LeStudio

LeStudio may terminate an Account or Service for a serious or repeated breach of these Terms, subject to Applicable Law and any applicable Product Terms.

14.5 Opportunity to Remedy

Where a breach can reasonably be remedied, LeStudio will generally provide a reasonable opportunity to remedy it unless immediate termination or restriction is justified by security, fraud, illegality or material harm.

14.6 Survival

Provisions which by their nature are intended to continue after termination survive termination, including provisions concerning intellectual-property ownership, accrued payment obligations, dispute resolution and lawful retention.

15. New Zealand Consumer and Fair-Trading Rights

15.1 Non-Excludable Rights

Nothing in these Terms excludes, restricts or modifies a guarantee, right or remedy to the extent that Applicable Law prohibits that result.

15.2 Consumer Guarantees Act 1993

If you acquire Services as a consumer in New Zealand, the Consumer Guarantees Act 1993 may confer rights and remedies which these Terms cannot lawfully remove.

15.3 Fair Trading Act 1986

Nothing in these Terms is intended to permit misleading or deceptive conduct or otherwise exclude obligations that cannot lawfully be excluded under the Fair Trading Act 1986.

15.4 Business Contracting-Out

Where Applicable Law permits parties in trade to contract out of specified statutory provisions, any such contracting-out will apply only where an applicable written business agreement satisfies the legal requirements for that contracting-out, including any fair-and-reasonable requirement.

16. Warranties and Representations

16.1 Express Commitments

LeStudio is bound by express commitments contained in these Terms, applicable Product Terms and Applicable Law.

16.2 No Implied Expansion

Subject to clause 15, no statement on a marketing page or other general communication expands a contractual warranty unless the statement is reasonably capable of having that legal effect under Applicable Law.

16.3 No Absolute Security Guarantee

LeStudio uses security measures designed to protect its Services but does not represent that any information system can be absolutely secure or entirely free from interruption, defects or malicious activity.

17. Liability

17.1 Mandatory Liability Preserved

Nothing in these Terms excludes, restricts or limits liability to the extent that doing so would be unlawful.

17.2 Core Terms Do Not Impose a Universal Cap

These core Terms do not impose a single monetary liability cap across every LeStudio product, customer type or transaction.

17.3 Product-Specific Risk Allocation

Where a paid or business Service requires product-specific allocation of risk, including a liability cap or exclusion, that allocation must be stated in the applicable Product Terms, order form or negotiated agreement before it applies.

17.4 Applicable Law

Except where a valid agreement expressly provides otherwise, responsibility for loss is determined in accordance with Applicable Law.

18. Changes to these Terms

18.1 Right to Amend

LeStudio may amend these Terms where reasonably required to reflect changes to the Services, LeStudio's business or Applicable Law.

18.2 Prospective Effect

A material amendment will apply prospectively from its stated effective date.

18.3 Notice

LeStudio will provide reasonable advance notice of a material amendment where practicable and will obtain renewed acceptance where required by the nature of the amendment, an applicable agreement or Applicable Law.

18.4 Preservation of Accepted Versions

LeStudio will preserve previously published versions through its legal-version records and will not silently rewrite the content of a version previously accepted by a user.

19. Notices and Electronic Communications

19.1 Electronic Form

You agree that LeStudio may provide contractual notices and Service communications electronically where Applicable Law permits.

19.2 Contact Information

You are responsible for maintaining a valid contact method for notices relating to your Account or Service.

19.3 Separate Marketing Rules

Clause 19 does not convert optional promotional marketing into a mandatory contractual communication and does not override applicable electronic-marketing law.

20. General Provisions

20.1 No Waiver

A failure or delay by a party to exercise a right does not waive that right.

20.2 Severability

If a provision is held invalid or unenforceable, it is to be read down to the minimum extent necessary, where legally possible, and the remaining provisions continue to apply.

20.3 Assignment

You must not assign or transfer your contractual rights or obligations without LeStudio's prior written consent, except where Applicable Law provides otherwise. LeStudio may assign an agreement as part of a genuine corporate reorganisation, financing or transfer of the relevant business, subject to Applicable Law and any applicable notice obligation.

20.4 Entire Agreement

These Terms, together with applicable Product Terms and any document expressly incorporated by reference, constitute the agreement concerning their subject matter, subject always to representations, rights or remedies that Applicable Law does not permit a party to exclude.

21. Governing Law and Jurisdiction

21.1 Governing Law

These Terms are governed by the laws of New Zealand.

21.2 Jurisdiction

The courts of New Zealand have jurisdiction, subject to any mandatory jurisdiction or dispute-resolution right which Applicable Law provides and which cannot lawfully be excluded.

22. International Availability

22.1 New Zealand Baseline

Public Legal V1 is prepared for LeStudio's New Zealand operating baseline.

22.2 Technical Accessibility Not Market Entry

The technical accessibility of a website or Service from another country does not, by itself, constitute a representation that LeStudio has intentionally launched, marketed or legally configured that Service for every foreign jurisdiction.

22.3 Future Market Entry

Before LeStudio intentionally targets or contracts into another market, LeStudio may implement jurisdiction-specific notices, terms, transfer arrangements, consent mechanisms or other legal controls where required.
